Board of Directors expectations and responsibilities

Mission

Sokana Collective’s mission is to provide access to culturally competent training, education and

support for doulas and families without barriers.

Position

The Board will support the work of Sokana Collective and provide mission-based leadership and strategic governance. While day-to-day operations are led by Sokana Collective’s co-founders, the Board-Co-founder relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. Specific Board Member responsibilities include:

● Serving as a trusted advisor to the co-founders as they develop and implement Sokana Collective’s strategic plan

● Leadership, governance and oversight

● Reviewing outcomes and metrics created by Sokana Collective for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to board and committee meetings

● Approving Sokana Collective’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities

● Contributing to an annual performance evaluation of the co-founders

● Assisting the co-founders and board chair in identifying and recruiting other Board Members

● Partnering with the co-founders and other board members to ensure that board resolutions are carried out

● Serving on committees or task forces and taking on special assignments

● Representing Sokana Collective to stakeholders; acting as an ambassador for the organization

● Ensuring Sokana Collective’s commitment to a diverse board and staff that reflects the communities Sokana Collective serves

Fundraising

Sokana Collective Board Members will consider Sokana Collective a philanthropic priority and fundraise throughout the year to reflect that priority. So that Sokana Collective can credibly solicit contributions from foundations, organizations, and individuals, Sokana Collective expects to have 100 percent of Board Members raise a minimum of $500 each year.

Board terms/participation

Sokana Collective’s Board Members will serve a one-year term to be eligible for re-appointment for two additional terms. Board meetings will be held quarterly and committee meetings will be held in coordination with full board meetings.

Qualifications

This is an extraordinary opportunity for an individual who is passionate about Sokana Collective’s mission and who has some board experience. Selected Board Members will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. His/her/their accomplishments will allow him/her/them to attract other well-qualified, high-performing Board Members.

Ideal candidates will have the following qualifications:

● Passionate about Sokana Collectives Mission, Vision and helping to create an atmosphere of growing the organization.

● Would prefer you have had some interaction with board responsibilities prior to being on this board.

● A commitment to an understanding of Sokana Collective’s Collaborators, preferably based on experience

● Personal qualities of integrity, credibility and a passion for improving the lives of not only the Doulas but of the families we serve.

● Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals Board Member Expectations

● Attend 80% of Sokana facilitated events/fundraisers

● Join a board committee

● Plan and execute an annual fundraiser (with the support of admin and collaborators) Serve on Sokana Collective’s Board of Directors is without remuneration, except for administrative support, travel, and accommodation costs in relation to Board Members’ duties.
